Thermo Instrument Systems Inc. (AMEX: THI) announced today that it has offered to acquire Nicolet Instrument Corporation (NYSE: NIC) and has been informed that NicoletUs Board of Directors has accepted the offer. Under the proposed terms, Thermo Instrument would acquire Nicolet for $21 in cash for each share of Nicolet's outstanding common stock. Consummation of the proposed acquisition is subject to certain customary conditions, including the execution of a definitive acquisition agreement and receipt of regulatory approvals.

Nicolet Instrument Corporation designs, manufactures, and markets instrumentation for a broad range of analytical chemistry, neuro-diagnostic, biomedical, and electronic engineering applications in science and industry. The company's headquarters are located in Madison, Wis. Nicolet's revenues for fiscal year 1992 were approximately $140 million.

Thermo Instrument Systems develops, manufactures, and markets analytical instruments used to detect and monitor air pollution, radioactivity, complex chemical compounds, and toxic metals and other elements in a broad range of liquids and solids. The company also provides environmental science and engineering services, laboratory-based testing, and nuclear health physics services. Thermo Instrument Systems is a public subsidiary of Thermo Electron Corporation (NYSE: TMO).
