Varian, Inc. (Nasdaq:VARI) today completed its acquisition of ANSYS Technologies, Inc. for approximately $45 million in cash and assumed net debt. ANSYS, which is located in Lake Forest, Calif., is a key U.S. supplier of consumable products for life science and other applications. Varian, Inc. had announced a definitive agreement for the acquisition on January 23, 2002.

Varian, Inc.'s growth strategy includes increasing its Scientific Instruments revenues from consumables and after-market activities. ANSYS products, including application-specific liquid chromatography columns; consumable supplies for sample preparation; flash chromatography and filtration used in pharmaceutical development; and a line of disposable products used for drug screening will complement Varian, Inc.'s line of chromatography consumables and will be made available through the company's worldwide distribution.

Varian, Inc. (Nasdaq:VARI) is a major supplier of scientific instruments, vacuum technologies, and specialized contract electronics manufacturing services. These businesses serve life science, health care, chemical analysis, industrial, and electronics customers worldwide. The company manufactures in 15 locations in North America, Europe, and the Pacific Rim and employs some 4,100 people. Varian, Inc. had fiscal year 2001 sales of $749 million.
